Aggregate Holdings S.A. will receive shares in ADO Properties S.A. in exchange for its holding in Consus Real Estate A.G.


Luxembourg, 29 June 2020 - Aggregate Holdings S.A. ("Aggregate") and ADO Properties S.A. ("ADO") entered into an agreement regarding Consus Real Estate AG ("Consus") on 15 December 2019.


This agreement includes a right of ADO to acquire all Consus shares held by Aggregate against shares in ADO Properties at an exchange ratio of 0.2390 ADO shares for 1 Consus share.


Today, ADO announced that it decided to exercise the call option with the settlement being subject to the launch of a rights issue of ADO in the amount of EUR 450 million. The rights issue as well as the settlement of the call option will be completed in Q3 2020 according to ADO.
